of the Memphis Association of Craft Artists

| ARTICLE
I. QUALIFICATIONS OF OFFICERS |
Sec
1. The officers of this organization shall be regular members in
good standing.
Sec 2. Members eligible for the office of president shall have
served on the Governing Board.

| ARTICLE
II. ELECTION OF OFFICERS, GOVERNING BOARD, AND TACA REPRESENTATIVES. |
Sec
1. The board members shall be elected by the membership at the November
meeting to serve two-year terms, replacing the outgoing board members.
They shall assume their duties in January following their election at
the annual meeting in November.
Sec 2. A majority of votes cast shall elect.
Sec 3. The president shall appoint a nominating committee, excluding
himself/herself composed of three to five members in good standing.
The committee shall be appointed not later than the regular April meeting.
A slate of one candidate for each vacancy on the MACA Board of Directors,
as well as the TACA Board representatives, shall be composed by the
committee and presented to the membership at the meeting preceding the
election meeting. Nominations may also be presented from the floor.
Sec 4. The governing board will elect its officers yearly.
Sec 5. The term of office shall be for one year. No person shall
hold the same office for more than two consecutive terms.
Sec 6. Two representatives to the governing board of the Tennessee
Association of Craft Artists shall be elected one each year for a term
of two years in office. Election of these representatives shall be by
the membership as indicated in sec. 3 above. No person shall be elected
Chapter Representative to the Governing Board for more than two consecutive
terms. The elected Chapter Representatives may not hold other chapter
offices.
Sec 7. New officers and chapter representatives assume office
as of January 1.

| ARTICLE
III. DUTIES OF OFFICERS |
Sec
1. The president shall reside at all meetings of this organization,
shall call meetings of the Governing Board and preside, shall appoint
the nominating committee, and shall approve all bills drawn against
this organization as presented to and by the treasurer. The president
is also responsible for designating the location of all meetings, along
with the program chairperson. The president shall place special emphasis
on such activities as public relations, communications, educational
programs, and like maters. The president will assist the treasurer in
developing an annual budget.
Sec 2. The treasurer shall make all deposits and authorized payments
of the organization, keep an itemized account, and file requested financial
reports to the state office in a timely manner. He/she shall make a
complete financial report at the annual meeting and at such other times
as requested by the president. He/she shall keep record of the current
membership and its status. The treasurer will assist the president in
developing an annual budget.
Sec 3. The secretary shall record minutes at each regular and
called meeting of the membership and Governing Board, and shall have
such minutes available for reference at future meetings. He/she will
also assume the responsibility of communications to members through
meeting notification and/or newsletter for a minimum of four times per
year.
Sec 4. The chapter representatives to the Governing Board of
TACA shall attend Governing Board meetings, serving as the liaison between
the chapter and the state organization, representing the concerns of
the chapter members to the Governing Board and reporting on state activities
to chapter members.
Sec 5. The newsletter shall be published each month in which
there is a regular meeting, and shall carry the meeting notice.
Sec 6. The governing board will meet 2 times a year, January
and August, for the purpose of appointing committee chairpersons, such
as programs for meetings, juried and non-juried shows, etc. and plan
the agenda of general meetings.

| ARTICLE
IV. DUTIES OF THE GOVERNING BOARD |
Sec
1. The governing board shall conduct the business of this organization
between meetings; shall fill vacancies in the lines of officers until
the next election and shall plan the agenda of meetings. The governing
board is subject to the orders of this organization and none of its
acts shall conflict with these orders.

| ARTICLE
V. MEETINGS |
Sec
1. A minimum of/but not limited to four general membership meetings
shall be held annually as determined by the governing board.
Sec 2. All members in good standing shall be eligible to vote.
Groups/ organizations shall have one vote.
Sec 3. At all meetings of this organization, those members present
shall constitute a quorum. The majority carries a vote.
Sec 4. The fiscal year shall be from January 1 through December
31.

VI. PROCEDURE |
Sec
1. The governing board may adopt rules for conduct in its own meetings.
All general membership meetings shall be governed by Roberts Rules
of Order in all cases where they are not inconsistent wit the laws o
this organization.

VII. AMENDMENTS |
Sec
1. The bylaws may be amended at any regular meeting by a majority vote
of the members present, providing a thirty-day notice of the proposed
amendment has been given.
